Agent Live 360 – Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Agent Live 360 platform, software, systems, and related services (collectively, the “Services”) provided by Agent Live 360 (“Agent Live 360,” “we,” “us,” or “our”).
By signing a Formal Quote, creating an account, or otherwise accessing or using the Services, you (“Customer,” “you”) agree to be bound by these Terms. The signed Formal Quote and these Terms together constitute a legally binding agreement (the “Agreement”).
1. Scope and Use of the Subscription
Agent Live 360 grants the Customer a limited, non-exclusive, non-transferable, and revocable right to access and use the Services solely for the Customer’s internal business purposes and in accordance with this Agreement.
The subscription is issued to the legal entity identified in the Formal Quote and may not be shared with, resold to, sublicensed for, or used by any other individual, organization, affiliate, or third party without prior written consent from Agent Live 360.
Access limits, feature availability, usage thresholds, or service tiers may apply as described in the Formal Quote or platform documentation.
2. Account Registration and Responsibilities
You must be at least eighteen (18) years old or the age of legal majority in your jurisdiction to use the Services.
To access the Services, you must create an account and provide accurate, complete, and current information, including a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
Agent Live 360 may use the email address associated with your account as the primary method of communication for notices, updates, and operational information.
You are solely responsible for all data, content, messages, configurations, prompts, or materials submitted to or generated through your account (“Customer Content”).
3. Acceptance of the Agreement
The Customer accepts these Terms by:
- Signing and returning a Formal Quote, or
- Creating an account or using the Services.
No oral statements, purchase orders, or separate agreements shall modify or supersede these Terms unless expressly agreed in writing by Agent Live 360.
4. Subscription Term, Renewal, and Termination
4.1 Annual Subscriptions
Annual subscriptions begin on the date the Formal Quote is signed and automatically renew for successive one-year terms unless terminated in writing at least one (1) month prior to the renewal date.
Annual subscriptions are non-refundable once a subscription period has commenced. Discounts for annual prepayment are contingent on completion of the full term.
4.2 Monthly Subscriptions
Monthly subscriptions renew automatically on a month-to-month basis unless terminated in writing at least seven (7) days before the end of the current billing period.
Monthly subscriptions are non-refundable once the billing period has begun.
4.3 Suspension or Termination by Agent Live 360
Agent Live 360 may suspend or terminate access to the Services immediately if you:
- Violate these Terms
- Fail to pay fees when due
- Use the Services unlawfully or abusively
- Create legal, security, or operational risk
Termination does not relieve you of payment obligations accrued prior to termination.
5. Fees and Payment
All fees are specified in the Formal Quote and billed in accordance with the agreed billing cycle.
Fees are exclusive of applicable taxes, duties, or governmental charges. You are responsible for all applicable taxes unless a valid exemption certificate is provided.
Failure to pay fees when due may result in suspension of Services. Agent Live 360 may charge interest on overdue amounts to the maximum extent permitted by law and recover reasonable collection costs.
All payments are non-refundable.
6. Acceptable Use and Customer Obligations
You agree not to:
- Use the Services for unlawful, deceptive, abusive, or fraudulent purposes
- Reverse engineer, copy, resell, or exploit the Services without authorization
- Interfere with system integrity, security, or availability
- Transmit malicious code, spam, or harmful data
You are responsible for ensuring that your use of the Services complies with all applicable laws, including consumer protection, privacy, and communication regulations.
7. AI, Automation, and Customer Content Responsibility
The Services may include AI-powered automation, messaging, or decision-support functionality.
You acknowledge and agree that:
- AI outputs may be inaccurate, incomplete, or inappropriate
- You are solely responsible for reviewing, approving, and using any AI-generated outputs
- Agent Live 360 does not provide legal, compliance, or professional advice
You remain fully responsible for all Customer Content, communications, and outcomes generated through your use of the Services.
8. System Availability and Maintenance
Agent Live 360 aims to provide high system availability but does not guarantee uninterrupted or error-free operation.
Maintenance, updates, or system changes may occur without prior notice. Planned maintenance will generally occur during off-peak hours when reasonably practicable.
Temporary suspension for maintenance does not constitute a breach of this Agreement.
9. Intellectual Property
All rights, title, and interest in the Services, platform, software, and documentation remain exclusively with Agent Live 360.
No rights are granted except as expressly stated in this Agreement.
You retain ownership of your Customer Content. By using the Services, you grant Agent Live 360 a limited, non-exclusive license to host, process, and display Customer Content solely for the purpose of providing the Services.
10. Confidentiality and Privacy
Each party agrees to maintain the confidentiality of non-public information received from the other party.
Agent Live 360 will not disclose Customer confidential information except:
- As required by law
- To provide the Services
- As described in the Privacy Policy
Use of the Services is subject to Agent Live 360’s Privacy Policy.
11. Security
Agent Live 360 implements reasonable technical and organizational safeguards designed to protect Customer data. However, no system is completely secure, and Agent Live 360 does not guarantee absolute security.
You are responsible for securing your own systems, credentials, and access controls.
12. Third-Party and Optional Tools
The Services may integrate with or provide access to third-party tools or services. Agent Live 360 does not control and is not responsible for third-party services.
Use of third-party tools is at your own risk and subject to the third party’s terms.
13. Marketing Use
Unless otherwise agreed in writing, you grant Agent Live 360 the right to reference your name and a brief description of the Services provided in marketing materials.
14. Disclaimer of Warranties
The Services are provided “as is” and “as available.”
Agent Live 360 disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law:
- Agent Live 360 shall not be liable for indirect, incidental, consequential, or special damages
- Total liability shall not exceed the lesser of:
- Fees paid in the twelve (12) months preceding the claim, or
- $1,000 USD
Nothing limits liability for death or personal injury caused by negligence where such limitation is prohibited by law.
16. Indemnification
You agree to indemnify and hold harmless Agent Live 360 from any claims arising from:
- Your use of the Services
- Your Customer Content
- Your violation of these Terms or applicable law
17. Governing Law and Disputes
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
California courts shall have exclusive jurisdiction over disputes arising from this Agreement.
18. Entire Agreement and Amendments
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.
Agent Live 360 may amend these Terms with at least twenty (20) days’ written notice, with changes applying at the next renewal.
